Objects of the Issue
The company proposes to utilise Rs. 5.27 crore for installing additional plant and machinery and Rs. 11 crore for working-capital requirements. The remaining proceeds will be applied towards general corporate purposes.
Valuation and Key Ratios
At the upper price of Rs. 37, Vivekanand Cotspin will have a post-issue market capitalisation of approximately Rs. 84.18 crore. Its diluted EPS is Rs. 1.62, resulting in a post-issue P/E ratio of 22.84 times. Price-to-book value stands at 2.08 times.
FY26 ROE and RoNW were 15.96%, while ROCE stood at 13.14%. EBITDA margin was 3.70% and PAT margin was only 0.90%. Debt-to-equity remained elevated at 1.56. These figures indicate moderate returns, thin profitability and meaningful financial leverage.
Promoters
The promoters include Nirav Bharatbhai Patel, Jasmin Vishnubhai Patel, Bharatbhai Prahaladbhai Patel, Vishnubhai Prahaladdas Patel, Gautam Bharatkumar Patel, B P Patel Family Trust and V P Patel Family Trust. Before the IPO, the promoter group holds 100% of the company.
Final Assessment
Vivekanand Cotspin benefits from an integrated operating model. The absence of an offer for sale means all issue proceeds will enter the business.
However, falling profit despite higher revenue, thin margins, elevated debt and a post-issue P/E above 22 times limit valuation comfort. The cotton textile business is also cyclical and exposed to raw-material price changes.
Investors may consider the IPO selectively after reviewing GMP and subscription demand. Conservative investors should avoid aggressive exposure unless market sentiment and institutional participation provide confidence during the issue period.
