GNI Infrastructure getting ready for an IPO

IPO Overview

GNI Infrastructure Limited received SEBI observations for its proposed IPO on 30 October 2026. The company can proceed with the offering, subject to applicable requirements and market conditions.

The proposed offer comprises 3,04,17,854 equity shares, including a fresh issue of up to 2,10,29,642 shares and an offer for sale of up to 93,88,212 shares. Shares carry a face value of Rs. 10 each and are proposed for listing on BSE and NSE.

Subscription dates, price band, lot size and listing date remain unannounced. The total issue value will depend on the final offer price.

The proposed reservation provides not more than 50% of the net offer for QIBs, not less than 35% for retail investors and not less than 15% for non-institutional investors.

SEBI observations allow the offering process to proceed; they do not constitute an investment recommendation.

Business and Operating Presence

GNI Infrastructure undertakes infrastructure construction, with a particular focus on road projects executed through engineering, procurement and construction contracts and item-rate contracts.

Its activities include construction, concreting, asphalting, widening, repair and maintenance of access roads, diversion roads, service roads and highways. Project capabilities encompass engineering, procurement, construction and execution management.

As of 31 December 2025, the company had completed more than 50 road infrastructure projects during the preceding five years. It had 18 projects under execution, comprising 17 road projects and one environmental engineering project, across multiple districts in Maharashtra.

A geographically clustered project portfolio can support equipment deployment and supervision efficiency. However, concentration in Maharashtra also increases exposure to regional tendering activity, execution conditions and government payment cycles.

Ownership of construction equipment supports operational control, while also requiring investment in maintenance, utilisation and replacement. Timely project completion, cost management and collection of certified bills remain central to profitable growth.

Promoter and Ownership

The promoters are Bindra Ravindersingh Khushbirsingh, Harvindersingh Basantsingh Bindra, Bindra Harpreetsingh H, Narindersingh Basantsingh Bindra and Prabjyotsingh Harvindersingh Bindra.

The promoter and promoter group hold 92.73% before the IPO, while public shareholders hold 7.27%.

The DRHP identifies the following selling shareholders:

Selling shareholder Category Shares offered through OFS
Bindra Ravindersingh Khushbirsingh Promoter 31,96,918
Harvindersingh Basantsingh Bindra Promoter 14,98,920
Bindra Harpreetsingh H Promoter 14,05,239
Narindersingh Basantsingh Bindra Promoter 14,97,001
Prabjyotsingh Harvindersingh Bindra Promoter 14,05,239
Amandeepsingh Ravindersingh Bindra Promoter group 81,972
Chanakya Opportunities Fund I Investor 1,81,754
RPV Holdings Private Limited Investor 1,21,169
Total 93,88,212

The complete OFS includes promoter-group and investor shareholders in addition to the five promoters.

The fresh issue would increase outstanding shares from 9,99,70,358 to 12,10,00,000, assuming full issuance and no subsequent changes. Post-offer promoter ownership will reflect both fresh-share dilution and shares sold by the promoter group.

Fresh-issue proceeds will accrue to the company, while OFS proceeds will go to the selling shareholders.

For a management interview, promoter introduction or IPO-related publication discussion, the company secretary’s office is an appropriate initial contact route.

Financial Performance

Restated consolidated financial figures, Rs. crore

Particulars Nine months ended December 2025 FY2025 FY2024 FY2023
Total Income 250.15 338.37 211.03 323.48
EBITDA 87.64 108.64 63.58 110.41
Profit After Tax 49.66 76.12 46.96 75.41
Total Assets 796.80 687.03 469.85 383.29
Net Worth 436.09 386.19 249.73 202.63
Borrowings 263.24 235.01 182.96 152.92

The December 2025 results cover nine months and should not be directly compared with full-year figures as a measure of annual growth. Assets, net worth and borrowings represent balances at the respective reporting dates.

FY2025 total income increased approximately 60.3%, while PAT rose 62.1% and EBITDA increased 70.9%.

However, FY2025 total income was only approximately 4.6% above FY2023, while PAT was 0.9% higher. The strong FY2025 growth therefore followed a substantial decline in FY2024, rather than representing uninterrupted expansion.

EBITDA as a proportion of total income improved from approximately 30.13% in FY2024 to 32.11% in FY2025. PAT margin increased modestly from 22.25% to 22.50%.

For the nine months ended December 2025, EBITDA represented approximately 35.03% of total income, while PAT margin stood at 19.85%. These EBITDA calculations use total income and differ from the reported EBITDA margin KPIs of 37.81% and 35.15%, which require reconciliation with the denominator used.

Borrowings increased 28.4% during FY2025 and a further 12.0% by December 2025, reaching Rs. 263.24 crore. Borrowings divided by reported net worth stood at approximately 0.60 times at December 2025.

The combination of rising assets, higher debt and a working-capital-focused IPO makes receivables, unbilled revenue and operating cash flow particularly important.

Fund Utilisation and Discussion Points

Proposed use Allocation
Funding working capital requirements Rs. 155.33 crore
General corporate purposes As specified in final offer documents

The quantified working capital allocation is Rs. 155.33 crore. The final fresh-issue value, offer expenses and general corporate purposes allocation will depend on the offer price and final documents.

Chanakya’s discussion focus: Additional working capital could support execution of existing projects and participation in new contracts. Its effectiveness will depend on billing milestones, collection cycles, mobilisation requirements and the quality of the order book.

A management meeting should examine the value and execution schedule of outstanding orders, client concentration, receivable ageing, retention money, unbilled revenue, disputed claims and cash conversion.

The reasons for the FY2024 decline and subsequent recovery also merit discussion. Investors should assess whether reported margins arise consistently from construction operations or include material other income and non-recurring items.

Using FY2025 consolidated PAT and the stated share counts, simple indicative EPS works out to approximately Rs. 7.61 before the issue and Rs. 6.29 after full fresh issuance, before any adjustment for non-controlling interests. These calculations reflect dilution on historical earnings and are not forecasts. A valuation assessment must await the price band.
