SEBI issued observations on June 1, 2026, enabling the company to proceed with its proposed offering, subject to applicable requirements and market conditions. Regulatory clearance should not be interpreted as an endorsement of investment quality.

The bookbuilding offer comprises a fresh issue of Rs. 1,500 crore and an offer for sale of Rs. 1,500 crore. Shares, carrying a face value of Rs. 10 each, are proposed for listing on BSE and NSE. The supplied material does not specify subscription dates, price band, lot size or listing date.

Business and Operating Presence

Incorporated in 2010, Truhome Finance operates in retail affordable housing finance. Its secured lending portfolio includes housing loans, loans against property and other products. As of December 31, 2025, its distribution network comprised 216 branches across 19 states and union territories. The average loan ticket size was approximately Rs. 21.30 lakh, while permanent employee strength stood at 5,095.

Its operating framework combines credit assessment, portfolio monitoring, digital customer engagement and field collections. Management’s stated competitive strengths include underwriting expertise, geographical diversification, technology investment and an experienced leadership team.

Promoter and Ownership

Mango Crest Investment Limited is the identified promoter and selling shareholder. It proposes to sell shares worth up to Rs. 1,500 crore through the OFS. Mango Crest is affiliated with global private equity investor Warburg Pincus. The company will receive proceeds from the fresh issue; OFS proceeds will accrue to the selling shareholder.

For promoter interaction, the company secretary’s office provides a practical initial route to request a management meeting, promoter introduction or referral to the appointed IPO communications agency.

Fresh proceeds will strengthen the capital base and support future lending requirements arising from business growth.

A promoter discussion should address loan-book growth, housing-loan versus property-loan mix, borrower concentration, gross and net NPAs, collection efficiency, credit costs, funding costs, capital adequacy and expansion plans.
