Indian Gas Exchange IPO: Company Profile, Financials and Promoter Contact Brief
IPO Overview
Indian Gas Exchange Limited received SEBI approval for its proposed IPO on 12 October 2026, through issuance of observations on its draft offer document. The regulatory clearance enables the company to proceed with the offering, subject to applicable requirements and market conditions.
The proposed mainboard bookbuilding offer consists entirely of an offer for sale of up to 1,67,10,000 equity shares by promoter Indian Energy Exchange Limited. There is no fresh issue, and Indian Gas Exchange will not receive the sale proceeds.
Shares carry a face value of Rs. 10 each and are proposed for listing on BSE and NSE. Subscription dates, price band, minimum application size and listing date remain unannounced. The offer’s rupee value will depend on the final price.
Business and Operating Presence
Incorporated in 2019, Indian Gas Exchange, or IGX, operates an authorised, automated, physical delivery-based natural gas trading platform. It facilitates transactions between gas buyers and sellers, supporting transparent price discovery and procurement flexibility.
As of 17 July 2026, physical delivery was facilitated through 19 delivery points across five regional gas hubs. Further pipeline connectivity could expand the platform’s addressable market.
Its offerings include short-duration spot contracts, longer-tenor procurement contracts, index-linked contracts and small-scale LNG contracts for truck deliveries beyond the pipeline network.
The company’s website reports 76.79 million MMBtu of traded volume and 1,924 trades during FY2026. These operating measures help assess platform activity; the value of gas traded should not be confused with IGX’s own revenue.
IGX also intends to explore derivative products linked to its GIXI gas-price benchmark, in collaboration with financial-market institutions. Such initiatives represent potential opportunities rather than established earnings streams.
Promoter and Ownership
Indian Energy Exchange Limited, or IEX, is the promoter and sole selling shareholder, holding 47.28% before the proposed offer.
The proposed sale of 1,67,10,000 shares represents 22.28% of IGX’s existing 7.50 crore shares. Assuming the entire offer is completed without other ownership changes, IEX’s holding would decline to approximately 25%.
Because the IPO contains no fresh shares, the total share count would remain unchanged. Sale proceeds would accrue to IEX rather than fund IGX’s expansion.
For a promoter introduction, management interview or IPO communications discussion, IGX’s investor-relations office provides a practical initial route.
Financial Performance
Restated financial figures, Rs. crore
| Particulars | FY2026 | FY2025 | FY2024 |
|---|---|---|---|
| Total Income | 84.84 | 69.08 | 54.62 |
| EBITDA | 58.61 | 46.09 | 33.92 |
| Profit After Tax | 42.02 | 30.79 | 23.05 |
| Total Assets | 477.73 | 308.02 | 294.58 |
| Net Worth | 179.03 | 147.71 | 116.66 |
FY2026 total income increased approximately 22.8%, while profit rose 36.5%. EBITDA increased approximately 27.2%, indicating improving earnings performance.
Reported ROE was 25.72%, ROCE 31.71% and NAV Rs. 23.87 per share.
The quoted 96.07% EBITDA margin should be assessed using its defined revenue denominator. EBITDA divided by total income is approximately 69.1%, illustrating why operating revenue and total income must be distinguished.
Similarly, total assets should not automatically be treated as freely available corporate resources without examining settlement balances, liabilities and the accompanying notes.
Fund Utilisation and Discussion Points
There is no fresh capital allocation because the IPO is entirely an OFS. The investment case therefore rests on the existing platform’s earnings potential and the eventual offer valuation.
A management discussion should address traded-volume growth, transaction fees, customer concentration, contract mix, delivery infrastructure and competition from bilateral gas procurement.
Other priorities include regulatory developments, technology resilience, settlement safeguards, operating cash flow and the contribution of treasury income to profitability.
Chanakya’s assessment: IGX offers exposure to gas-market development through an exchange model. However, higher gas prices alone do not guarantee higher exchange earnings. Participation, volumes, fee realisation and operating discipline matter. The price band and updated financial disclosures are necessary before forming an investment recommendation.
