Swara Baby Products IPO: Company Profile, Financials and Promoter Contact Brief
IPO Overview
Swara Baby Products Limited received SEBI approval for its proposed IPO on 6 October 2026, through issuance of observations on its draft offer document. The company can proceed with preparations for the offering, subject to applicable requirements and market conditions.
The proposed Rs. 1,000 crore mainboard IPO comprises a fresh issue of up to Rs. 500 crore and an offer for sale of up to Rs. 500 crore.
Shares carry a face value of Rs. 2 each and are proposed for listing on BSE and NSE. Subscription dates, price band, lot size and listing date have not yet been announced. SEBI clearance should not be interpreted as an endorsement of investment quality.
Business and Operating Presence
Incorporated in November 2016, Swara Baby Products is a contract manufacturer of disposable consumer hygiene products. Its portfolio spans baby diapers, adult diapers, sanitary napkins, panty liners and related products.
Alongside manufacturing for other brands, the company markets Cuddles baby diapers and Shields adult diapers through online and modern retail channels.
According to the TKC industry report cited in its offer material, Swara was India’s largest contract manufacturer in the hygiene manufacturing industry by value in FY2025. Its reported shares of the baby-diaper and adult-diaper contract-manufacturing segments were 37% and 36%, respectively. These figures refer to contract manufacturing, rather than the entire consumer diaper market.
The acquisition of K.A. Enterprises Hygiene Private Limited, or KAEHPL, in December 2025 expanded its feminine-hygiene portfolio. As of March 2026, the company employed 775 permanent personnel.
Its operating strengths include customised product development, manufacturing scale, quality assurance and supply-chain coordination.
Promoter and Ownership
The identified promoters are Alok Birla, Sangita Birla, Udit Alok Birla, Brainbees Solutions Limited and Anadya Bon Merchari LLP.
Brainbees Solutions, the parent of FirstCry, proposes to sell shares worth up to Rs. 300 crore, while Anadya Bon Merchari LLP proposes an OFS of up to Rs. 200 crore.
The promoter and promoter group hold 100% before the proposed offer. Post-issue ownership will depend on the final pricing, fresh share issuance and OFS allocations.
Swara will receive the fresh-issue proceeds; OFS proceeds will accrue to the selling shareholders.
For promoter interaction, a management interview or referral to the appointed IPO communications agency, the company secretary’s office provides a practical initial route.
Financial Performance
Restated consolidated figures, Rs. crore
| Particulars | FY2026 | FY2025 | FY2024 |
|---|---|---|---|
| Total Income | 1,212.44 | 959.67 | 766.61 |
| EBITDA | 192.77 | 162.72 | 153.59 |
| Profit After Tax | 95.59 | 80.67 | 93.97 |
| Total Assets | 1,368.20 | 1,002.31 | 780.15 |
| Net Worth | 553.22 | 399.92 | 319.36 |
| Borrowings | 443.06 | 354.82 | 260.08 |
FY2026 total income increased approximately 26.3%, while profit rose 18.5%. EBITDA grew 18.5%, indicating that earnings growth lagged the increase in total income.
The longer comparison adds perspective: FY2026 profit was only approximately 1.7% above FY2024, despite substantial income growth. Investors should examine the causes of the FY2025 profit decline and the sustainability of the subsequent recovery.
Borrowings increased approximately 24.9% during FY2026. Reported debt-to-equity was 0.81 times, ROE 20.06% and ROCE 16.19%.
The reported PAT and EBITDA margins use a revenue denominator that differs from total income. Consistent definitions are necessary when comparing profitability across periods or peers.
Fund Utilisation and Discussion Points
| Proposed Use | Allocation |
|---|---|
| Part-financing the manufacturing project | Rs. 198.21 crore |
| Repayment of company borrowings | Rs. 100.00 crore |
| Investment in subsidiaries for debt repayment | Rs. 27.50 crore |
| Acquisitions, strategic initiatives and general corporate purposes | As specified in final documents |
The subsidiary allocation covers Solis Hygiene, Swara Hygiene and KAEHPL.
Chanakya’s discussion focus: Expansion and debt repayment offer identifiable business benefits, but their value depends on commissioning schedules, capacity utilisation and interest savings.
A promoter meeting should address customer concentration, related-party transactions, contract pricing, raw-material cost pass-through, acquisition integration and operating cash flow. The profitability of contract manufacturing versus owned brands also deserves attention.
The final price band, diluted earnings and comparable valuations are necessary before forming an investment recommendation.
