J Pan Tubular Components IPO: Company Profile, Financials and Promoter Contact Brief

IPO Overview

J Pan Tubular Components Limited received SEBI observations for its proposed IPO on 19 October 2026. The company can proceed with the offering, subject to applicable requirements and market conditions. The proposed offer comprises 51.80 lakh equity shares, including a fresh issue of 49.20 lakh shares and an offer for sale of 2.60 lakh shares.

Shares carry a face value of Rs. 10 each and are proposed for listing on BSE and NSE. Subscription dates, price band, lot size and listing date remain unannounced. The total issue value will depend on the final offer price.

SEBI observations allow the offering process to proceed; they do not constitute an investment recommendation.

Business and Operating Presence

Established in May 2007, J Pan Tubular Components manufactures tubular, forged and precision-machined components for original equipment manufacturers.

Its portfolio includes HVAC, refrigeration, Variable Refrigerant Volume systems and brass components, using copper, brass and aluminium. Applications include refrigerant circuits, heat exchangers, air-conditioning equipment and industrial fluid systems.

Customers include LG Electronics, Haier, Daikin, Bosch Home Comfort and Ecofrost Technologies. Manufacturing capabilities span brass processing, forging, machining, fabrication and customised product development.

The company employed 393 permanent personnel at March 2026. Its proposed investments at Sanand and Sri City indicate an emphasis on expanding manufacturing capacity.

Customer approvals, product consistency, delivery reliability and efficient metal procurement are important competitive factors. Maintaining margins while meeting OEM pricing requirements will be central to profitable growth.

Promoter and Ownership

The promoters are Jignesh Panchal, Dina Panchal, Jugal Jignesh Panchal and Jubin Jignesh Panchal.

The promoter and promoter group hold 99.99% before the IPO. Jignesh Panchal proposes to sell 2.60 lakh shares through the OFS.

The fresh issue would increase outstanding shares from 1,57,87,285 to 2,07,07,285, assuming full issuance and no subsequent changes. Post-offer promoter ownership will reflect both fresh-share dilution and the promoter’s sale.

Fresh-issue proceeds will accrue to the company, while OFS proceeds will go to the selling shareholder.

For a management interview, promoter introduction or IPO-related publication discussion, the company secretary’s office is an appropriate initial contact route.

Financial Performance

Restated financial figures, Rs. crore

Particulars FY2026 FY2025 FY2024
Total Income 469.58 390.45 302.56
EBITDA 39.79 39.23 20.56
Profit After Tax 17.56 20.48 8.57
Total Assets 249.88 187.66 150.25
Net Worth 94.34 77.72 54.84
Borrowings 96.55 70.34 50.15

FY2025 figures are consolidated, whereas FY2026 and FY2024 figures are standalone. Consequently, year-on-year changes require caution and should not be interpreted as fully comparable operating growth.

On the reported figures, FY2026 total income increased approximately 20.3%, while PAT declined 14.3%. EBITDA rose only 1.4%, indicating that higher income did not translate into proportionate earnings growth.

EBITDA as a proportion of total income declined from approximately 10.05% to 8.47%, while PAT margin on the same basis fell from 5.25% to 3.74%.

Borrowings increased approximately 37.3%, reaching 1.02 times net worth. This makes working-capital efficiency, financing costs and operating cash generation important assessment points.

Fund Utilisation and Discussion Points

Proposed Use Allocation
Expansion of Sanand facility, Gujarat Rs. 42.69 crore
New manufacturing facility at Sri City, Andhra Pradesh Rs. 20.50 crore
Repayment or prepayment of borrowings Rs. 35.00 crore
General corporate purposes As specified in final offer documents

The three stated allocations total approximately Rs. 98.19 crore, with a minor rounding difference against the indicated aggregate.

Chanakya’s discussion focus: Expansion could strengthen manufacturing scale, while debt repayment may improve financing flexibility. The benefits will depend on commissioning schedules, customer commitments, utilisation and incremental returns.

A management meeting should examine the reasons for margin compression, customer concentration, copper and brass price pass-through, receivable cycles, capacity utilisation and the comparability of consolidated and standalone accounts.

The indicative post-issue EPS of Rs. 8.48 reflects dilution on the existing earnings base; it is not a forecast. A valuation assessment must await the price band.
