IPO Overview
Ratnadeep Retail Limited received SEBI observations for its proposed IPO on 27 October 2026. The proposed bookbuilding offer comprises a fresh issue of up to Rs. 400 crore and an offer for sale of up to 1,48,60,000 equity shares. The fresh issue and promoter OFS structure have also been reported in recent coverage.
Shares carry a face value of Rs. 1 each and are proposed for listing on BSE and NSE. Subscription dates, price band, lot size and listing date remain unannounced in the available issue details. The total offer value will depend on the final price and OFS proceeds.
The proposed allocation provides at least 75% of the net offer for QIBs, up to 10% for retail investors and at least 15% for non-institutional investors.
SEBI observations permit the offering process to proceed; they do not constitute an investment recommendation.
Business and Operating Presence
Incorporated in February 1995, Ratnadeep Retail operates an organised food and grocery retail business across Telangana, Andhra Pradesh and Karnataka.
Its network comprises 190 stores, operating through Ratnadeep—Mindful Living, Ratnadeep Select and National Mart formats. Its assortment exceeds 30,000 stock-keeping units, covering fresh produce, staples, FMCG products, general merchandise and apparel.
The company also operates RD Click, an online platform offering home delivery across eight South Indian cities. Its combination of neighbourhood, premium and value formats allows it to serve different shopping preferences and household budgets.
Operations are supported by two warehouses, two collection centres and an in-house fleet of 85 trucks. Direct farmer procurement and cluster-based expansion support sourcing efficiency and product availability.
Its private-label portfolio comprises 2,321 SKUs, spanning fresh produce, staples, dry fruits and other grocery categories. Private labels offer scope for differentiation, although their profitability depends on sourcing, pricing and customer acceptance.
The company employed 5,373 permanent personnel as of 31 March 2026. Store productivity, inventory turnover, rental costs and competition from supermarkets and quick-commerce platforms are important operating assessment points.
Promoter and Ownership
The promoters are Sandeep Agarwal, Manish Bhartiya, Mitesh Bhartiya, Yash Agarwal and Kavita Agarwal.
The promoter and promoter group hold 100% before the IPO. The proposed selling shareholders are:
| Selling shareholder | Shares offered through OFS |
|---|---|
| Sandeep Agarwal | 85,44,500 |
| Manish Bhartiya | 31,57,750 |
| Mitesh Bhartiya | 31,57,750 |
| Total | 1,48,60,000 |
The company has 10,92,43,500 equity shares outstanding before the issue. The fresh-share count and post-issue promoter ownership will depend on the final offer price and issue structure.
Fresh-issue proceeds will accrue to the company, while OFS proceeds will go to the selling shareholders.
For a management interview, promoter introduction or IPO-related publication discussion, the company’s compliance office is an appropriate initial contact route.
Financial Performance
Restated consolidated financial figures, Rs. crore
| Particulars | FY2026 | FY2025 | FY2024 |
|---|---|---|---|
| Total Income | 2,227.00 | 1,990.86 | 1,681.79 |
| EBITDA | 111.33 | 41.89 | 58.71 |
| Profit After Tax | 36.70 | −26.69 | 15.84 |
| Total Assets | 524.32 | 510.16 | 428.21 |
| Net Worth | 136.50 | 99.80 | 126.49 |
| Borrowings | 168.83 | 201.01 | 127.69 |
FY2026 total income increased approximately 11.9%, while EBITDA rose 165.8%. The company returned to profitability, reporting PAT of Rs. 36.70 crore, against a loss of Rs. 26.69 crore in FY2025.
This is a turnaround from a loss, rather than a conventional percentage increase in profit. The absolute improvement in PAT was Rs. 63.39 crore.
EBITDA as a proportion of total income improved from approximately 2.10% to 5.00%, while PAT margin recovered from −1.34% to 1.65%. Despite the recovery, the thin net margin leaves earnings sensitive to changes in procurement costs, discounts, employee expenses and store overheads.
Borrowings declined approximately 16.0%, while net worth increased 36.8%. Borrowings divided by reported net worth stood at approximately 1.24 times, compared with 2.01 times a year earlier. The separately reported debt/equity KPI of 1.22 times should be reconciled with its underlying definition.
The FY2025 loss, following a profitable FY2024, makes the causes and sustainability of the FY2026 recovery central to assessment.
Fund Utilisation and Discussion Points
| Proposed use | Allocation |
|---|---|
| Setting up new Ratnadeep and National Mart stores | Rs. 260.03 crore |
| Repayment or prepayment of certain loan facilities | Rs. 40.00 crore |
| General corporate purposes | As specified in final offer documents |
| Total of quantified allocations | Rs. 300.03 crore |
New-store investment represents approximately 65.0% of the proposed Rs. 400 crore gross fresh issue, while debt repayment represents 10.0%.
The difference between the gross fresh issue and the quantified allocations should not automatically be treated as the general corporate purposes allocation: offer expenses and the final net-proceeds calculation must also be considered.
Chanakya’s discussion focus: Expansion could strengthen Ratnadeep’s regional presence, while debt repayment may ease financing costs. Returns will depend on store selection, opening schedules, sales productivity and the time taken for new outlets to become profitable.
A management meeting should examine the FY2025 loss, the drivers of FY2026 margin recovery, same-store sales growth, store-level profitability, private-label contribution, inventory shrinkage, lease obligations and competition from quick commerce.
The reported pre-issue EPS is Rs. 3.36. Post-issue EPS cannot yet be calculated reliably because the fresh-share count depends on the offer price. Valuation and an investment rating should await the price band and final offer documents.
